Reseller Agreement

This Reseller Agreement ("Agreement") outlines the rules, revenue margins, and intellectual property terms for registered studio partners, resellers, and store managers selling products on Cartoix.

By listing products, configuring storefront layouts, or fulfilling orders, you agree to comply with this Agreement.

To qualify as a studio partner, you must complete the identity compliance details in settings, submit a verified tax form, and maintain a good platform standing.

Accounts with history of copyright warnings or payment fraud are not eligible to list products.

You are responsible for managing your catalog, uploading accurate mockups, specifying custom profit markups, and handling customer pre-sale queries.

You must ensure that your store title, domain, and description are not misleading to customers.

You retain all intellectual property rights to the custom designs, brand assets, and creative copies you upload to Cartoix.

By listing products, you warrant that you are the lawful owner or license holder of the artwork and design concepts utilized.

You grant Cartoix a non-exclusive license to manufacture, print, host, and distribute your custom products to fulfill customer orders.

We will respect your copyright and will not use your designs outside of Cartoix commerce fulfillment without permission.

All custom product listings must show high-resolution mockups, correct sizing tables, detailed material lists, and accurate shipping country details.

Studio partners set their own pricing by adding a custom profit markup to the base supplier cost of each item.

You represent that your pricing conforms to local consumer fair-trade regulations and does not constitute price gouging.

For Reseller accounts, creator earnings (Reseller Margin) are calculated as the custom profit markup added by you to the base supplier cost of each product (Retail Price minus Base Supplier Cost and applicable transaction fees).

Earnings are recorded as Pending Earnings upon order placement and remain subject to the operational Settlement Period.

Cartoix charges service commission, hosting costs, and transaction fees on each processed sale. These fees are automatically deducted from the gross purchase amount.

You must declare all earnings to local tax offices. Cartoix will deduct withholding taxes if legally ordered by national agencies, or if you fail to submit a valid tax certification.

All earnings settlement, clearance timelines, Payout eligibility, and withdrawal rules are governed by this Agreement and the Cartoix Creator Earnings, Settlement & Payout Policy.

Recorded sales remain classified as Pending Earnings during a standard 7-day operational Settlement Period from the transaction date.

Earnings transition to Available Earnings once the 7-day Settlement Period elapses, provided your account satisfies all compliance, tax form (Form W-9/W-8BEN), and Stripe Connect onboarding requirements.

Payouts of Available Earnings are processed primarily through Stripe Connect directly to your linked bank account.

Resellers must complete Stripe Connect onboarding and identity verification. Payout availability and processing capabilities vary by creator country and local payment-provider regulations.

System releases or admin approvals govern the transfer of Available Earnings to your payout destination.

If a customer order is refunded or cancelled while reseller earnings are pending, the corresponding Pending Earnings for that order will be cancelled or reversed.

If a refund occurs after a reseller has already received a Payout, Cartoix reserves the right to make a post-payout adjustment or recover the amount against future Available Earnings or via clawback as permitted by contract and applicable law.

In the event of a customer credit card dispute or chargeback before payout, the associated Pending Earnings will be frozen under a Payout Hold until dispute resolution.

If a chargeback occurs after a Payout has been completed, the disputed amount plus chargeback fees will be debited or recovered from the creator's ledger as permitted by law.

Studio partners must reply to pre-sale and order status support tickets in a helpful manner within 48 hours. Excessive ignored tickets may lead to storefront suspension.

You agree not to list weapons, pharmaceuticals, adult merchandise, hate speech imagery, or counterfeit brand goods. Review our Prohibited Products Policy for a complete list.

Cartoix monitors for fraud, wash trading, and self-purchasing. Payout Holds may be applied for risk reviews, identity checks, or compliance verification.

If we detect a violation of this Agreement, we may place a temporary Payout Hold, restrict product additions, or hide your storefront layout.

Either party may terminate this Agreement at any time by closing their store profile or sending a written closure request to legal@cartoix.com.

Cartoix is not liable for lost profits, revenue, or business damages caused by product defects, catalog downtime, or shipping courier delays.

We reserve the right to modify this Agreement. Continued participation in the creator program after updates are published constitutes consent to the modified terms.
